[Remote] Associate Counsel

The Associate Counsel role involves managing various legal responsibilities, including contract negotiations and compliance, within a small in-house legal team.


Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including License Agreements, Cloud-Hosting/SaaS agreements, professional services agreements, strategic partnership agreements, NDAs, &c
  • Support government contracting processes, including RFP responses, contract review, and negotiation with public sector customers
  • Assist with product-related legal issues, including accessibility, data privacy, and security considerations related to cloud-based software
  • Provide practical, business-oriented legal guidance to internal stakeholders
  • Help identify legal risks and propose solutions that align with business objectives
  • Assist with corporate governance, compliance initiatives, and other general legal matters as needed

Skills

  • 1–4 years of legal experience, or an exceptional recent graduate with relevant experience
  • Strong drafting and contract review skills
  • Ability to manage multiple matters and work independently in a fast-paced environment
  • Strong communication skills and sound judgment
  • Interest in technology, software products, and/or government contracting
  • Experience working within Agile teams or formal training in Scrum or Agile methodologies is a strong asset
  • SaaS and software-related contracting, ideally in the context of government procurement
  • Data privacy, cybersecurity, and cloud compliance
  • Intellectual property or product counseling
