Description:
I am an Ontario-based business owner seeking a Canadian lawyer to review a set of transactions and prepare a legal opinion letter to support my accountant’s tax treatment.
- Context:
- I own an Ontario corporation
- Funds originated from the corporation and were used for investments
- The investments were not formally structured at the time
- There are now three court settlement agreements in place, with repayment over approximately three years (with some delays)
- My accountant requires documentation to support how these transactions should be characterized
Objective:
I am looking for a lawyer to:
- 1. Review all relevant documentation, including:
- Corporate bank statements (source of funds)
- Transfers to personal account
- Investment-related details
- Court documents and settlement agreements
- 2. Provide a **legal opinion letter or memo** that:
- Analyzes the full flow of funds and surrounding facts
- Assesses whether the transactions can reasonably be characterized as a **corporate investment**, based on source of funds, intent, and overall structure
- Clearly articulates a **defensible position supporting this characterization**, where appropriate
